#3 The interesting this is Universal Studios does not have this same arrangement.

Disney is being demoted to Universal Studios status. If Universal can make a profit without this special status, why can't Disney?

#4 It was never a "tax avoidance scam". It was a deal to support economic development in an area that was swamps and orange groves before Walt came looking.

Disney shareholders should be suing the board and executives for the stunts that cost the company the arrangement.
