Personally I think d) is most appropriate but a) seems like the safest bet.

If you want to go totally geek on the subject look here, but be prepared to be mightily bored. The only reason anyone in his right mind would serve as a director, other than the excellent canapes, is that liability insurance is available -- for a price, and that price is increasing.

Ditto for Donna Shalala at United Health. Etc etc
